Wholesale Terms & Conditions
These terms set out the basis on which Casa Dextiles supplies wholesale goods. They are intended to provide clarity on quotations, orders, payment, delivery, inspection, ownership and liability.

SCOPE
How these terms apply
These wholesale terms and conditions apply to the sale of goods by Casa Dextiles to trade customers. By placing an order, the buyer agrees that these terms apply unless alternative terms have been agreed by us in writing.

These terms are intended to support a clear and fair trading relationship between Casa Dextiles and the buyer.
IMPORTANT NOTE
Written confirmation matters
We take care to wrap all items securely to help minimise the risk of damage in transit. If your parcel has not arrived within the expected timeframe, please contact us as soon as possible at info@casadextiles.com.

If an item arrives damaged, please email us within 24 hours of delivery and include:

A brief description of the issue

Photographs of the damaged item and packaging​
If, for any reason, we are unable to fulfil your order or deliver it within the expected timeframe, we will contact you to discuss alternative arrangements.
QUOTATIONS
Prices and quotation period

Quotations are valid for 28 days from the date of issue unless otherwise stated.

Prices may be subject to revision after that period.

Quotations are invitations to place an order and do not bind Casa Dextiles until the order is accepted.
ORDERS
Acceptance of an order

Orders are subject to acceptance by Casa Dextiles.

Acceptance may be confirmed in writing, by order acknowledgement, or by commencement of production or supply.

Once accepted, the order becomes binding unless otherwise agreed in writing.
DEPOSITS
Deposit on acceptance
A deposit of 25% of the order value is payable on acceptance of the order, unless different terms have been agreed in writing.

Production, sourcing or preparation may not begin until the required deposit has been received.
PAYMENT TERMS
Invoice settlement
Unless otherwise agreed, invoices are payable within 28 days of the invoice date.

Approved credit terms may apply where specifically agreed.

Late payment may result in delayed dispatch, suspension of supply, or interest where legally applicable.

All amounts due must be paid in full without deduction unless required by law.
DELIVERY
Lead times and dispatch
Any delivery or dispatch dates provided by Casa Dextiles are estimates unless expressly confirmed otherwise in writing.

We will use reasonable efforts to meet estimated delivery dates.

Delays caused by factors outside our reasonable control may affect delivery timing.

Time of delivery is not of the essence unless specifically agreed in writing.
RISK
When responsibility passes
Risk in the goods passes to the buyer on delivery. From that point, the buyer is responsible for storage, insurance and appropriate handling of the goods.

Title to the goods does not pass until payment in full has been received for all sums due to Casa Dextiles.
INSPECTION
Checking goods on arrival
The buyer should inspect the goods promptly on delivery and confirm that the order is complete and in good condition.
Claims relating to shortages, transit damage or visible defects should be made in writing within 7 days of delivery.
CLAIMS
Reporting issues

Please include the order reference and a description of the issue.

Photographic evidence may be requested.

Claims made outside the stated period may not be accepted unless required by law.
OWNERSHIP
Retention of title
Legal title in the goods remains with Casa Dextiles until the buyer has paid all sums due in full. Until title passes, the buyer must store the goods safely and keep them identifiable as Casa Dextiles goods where reasonably possible.

If payment is overdue, Casa Dextiles may be entitled to recover goods for which title has not yet passed, subject to applicable law.
CANCELLATION
Changes or cancellations
Orders may not be cancelled or amended after acceptance without written agreement from Casa Dextiles.

Where cancellation is agreed, the buyer may be responsible for costs already incurred, including sourcing, production, customisation or administrative work.
TERMINATION
When supply may be suspended

We may suspend or terminate supply if invoices remain unpaid.

We may also suspend supply if the buyer becomes insolvent or unable to meet payment obligations.

Any accrued rights or unpaid sums remain enforceable after termination.
LIABILITY
Our responsibility
Casa Dextiles will not exclude liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to that, our liability for loss arising from wholesale supply is limited to losses that are reasonably foreseeable and directly connected to the contract.
​
We are not liable for indirect or consequential losses, loss of profit, loss of business, or delay caused by events beyond our reasonable control, unless required by law.
EVENTS BEYOND CONTROL
Force majeure
Casa Dextiles is not responsible for failure or delay in performing obligations where that failure or delay arises from events beyond reasonable control.

This may include disruption to transport, supply chains, labour, utilities, government action, severe weather or similar unforeseen events.
GENERAL
Additional provisions

If any part of these terms is found invalid, the remaining provisions continue to apply.

No waiver of any breach is a waiver of any later breach.

These terms are governed by the laws of England and Wales unless otherwise agreed.
